Terms of Service

SpaceCrew® and SpaceCrewHQ is a service brand operated by Task Genie, a Wyoming Corporation. All services, billing, and contractual obligations are provided by Task Genie. This Service Agreement (“Agreement”) governs all services provided by Task Genie (“Provider”) to the client (“Client”).
1. Services
Provider agrees to supply remote administrative and support services (“Services”) to Client. Services may include administrative assistance, research, scheduling, data entry, customer support, and other mutually agreed tasks.
2. Service Period
Services are provided on a monthly service basis covering each calendar month unless otherwise agreed in writing.
3. Billing and Payment Terms
Invoices are issued in advance on the 1st and 15th of each month for the upcoming service period. Payment is due upon receipt unless otherwise agreed in writing. A late fee of five percent (5%) may be applied to invoices not paid within five (5) days after the invoice date. Provider reserves the right to pause or suspend services immediately if payment is not received by the due date. Services will resume once outstanding balances are paid. Services beginning mid-period may be prorated based on the number of remaining business days in the applicable service period.
4. Scope of Services
Services are limited to tasks reasonably related to administrative and support functions. Work outside the agreed scope or requiring specialized skills may require additional fees or a revised service plan.
5. Personnel
Provider may assign or replace personnel as necessary to perform the Services. Provider will make reasonable efforts to maintain service continuity but does not guarantee the availability of any specific individual.
6. Confidentiality
Provider agrees to maintain the confidentiality of Client’s proprietary and confidential information and will not disclose such information except as necessary to perform the Services.
7. Limitation of Liability
Provider shall not be liable for any indirect, incidental, or consequential damages arising from the Services. Provider’s total liability shall not exceed the fees paid by Client for the most recent service month.
8. Termination
Either party may terminate this Agreement with 15 days written notice. Termination will take effect at the end of the current service month.
9. Communication and Access
Client agrees to provide clear instructions, necessary system access, and timely responses required to perform the Services. Provider is not responsible for delays caused by incomplete instructions or unavailable access.
10. Independent Contractor
Provider is an independent contractor and not an employee, partner, or agent of Client.
11. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Wyoming, and the parties consent to the jurisdiction and venue of such courts.
12. Updates to Agreement
Provider may update or modify this Agreement from time to time. Updated versions will be posted on Provider’s website and will apply to future services and billing periods. Continued use of the Services or payment of an invoice constitutes acceptance of the revised terms.
